Dual Role: Company Secretary – (Compliance and Process Improvement) Manager    

 A very unique opportunity for an experienced company secretary to expand and diversify on their normal duties while aiding with drive the improvement and growth of a Leading Aircraft Leasing Company.

Company Secretary:

  • Organise and attend board meetings while drafting minutes and prepare an action point list of the matters arising from the board meetings and forward to management for review
  • Liaise with commercial, technical and finance departments to prepare Board Packs including Meeting Agenda
  • Maintain company registers and company secretarial records along with company formations
  • Provide support for bank account opening and related areas
  • Prepare and file documents in relation to ad hoc company secretarial requests
  • Ensure all Companies Act filings and registrations are made in a timely and accurate manner. Ensure all other requirements of the Companies Acts or other relevant legislation are met
  • Advise Senior Management on corporate governance/company secretarial matters on a regular basis
  • Liaise with commercial, legal and finance departments
  • Continuous improvement of company secretarial processes

 Compliance and Business Process Improvement

  • Keeping abreast of emerging compliance requirements;
  • Assessing compliance with key legal obligations;
  • Training staff in ongoing compliance requirements;
  • Ongoing company secretarial compliance to include:
    • Changes to directors/secretary
    • Changes to authorised share capital (increase, creation)
    • Changes to issued share capital (allotments, share transfers)
    • Preparation and filing of Annual Returns
    • Holding of Annual General Meetings and Extraordinary General Meetings
    • Maintenance of Corporate Registers
    • Working on business process improvement projects across the entire business;
    • Evaluation of potential opportunities across the business to improve both effectiveness and efficiency.


KEY Skills / Experience

  • Proven experience as a company secretary (must be qualified ICSA / ACIS) or studying for qualification ideally in the Aircraft Leasing industry
  • Excellent communications skills (written and oral) including the ability to take accurate minutes of complex meeting topics
  • Notable background in board/committee administration or company secretarial administration
  • Strong written communication skills with proven ability in the use of the English language
  • Good organisational and time management skills with a passion to make change
